1. Definitions

• “We” or “us” means LUNARIS TECH LIMITED and its authorised affiliates.
• “You” means the individual or organisation visiting this website or entering into a service agreement with us.
• “Services” means software development, artificial intelligence, cloud computing, data automation and technology consulting deliverables.

2. Use of the website

• Do not reverse engineer, scrape, attack, inject or otherwise interfere with the operation of the website.
• Do not use this website for unlawful, infringing, spam or misleading activities.
• We may modify, suspend or discontinue parts of the website without prior notice.

3. Formation of services

Website content is general information only and does not constitute an offer. The exact scope, milestones, acceptance criteria and fees are governed by the quotation, service agreement or statement of work signed by both parties. Where those documents conflict with these terms, the specific agreement prevails.

4. Client responsibilities

• Provide required materials, account access and a business point of contact in good time.
• Complete reviews and acceptance feedback within the agreed timeframes.
• Ensure that all materials, data and content supplied to us are properly licensed.

5. Fees and payment

• Unless stated otherwise, quotations exclude taxes and third-party software or cloud costs.
• Payment terms and milestones follow the agreement; late payment may suspend delivery.
• Change requests beyond the agreed scope are estimated and charged separately.

6. Intellectual property

The brand, logo, copy and visual design of this website belong to us. Ownership of project deliverables is determined by the service agreement; until payment is received in full, the licence to use those deliverables remains with us. We retain ownership and reuse rights over generic components, frameworks, tools and pre-existing know-how.

7. Confidentiality

Each party shall keep confidential the commercial, technical and customer information it learns about the other during the engagement. This obligation survives the end of the engagement, except where disclosure is required by law or the information is already public.

8. Third-party services

Services may rely on cloud platforms, APIs, open-source components or other third-party products. Their availability, terms and pricing are set by those providers, and we are not liable for their interruption or change.

9. Warranties and disclaimers

We undertake to provide services with reasonable professional skill and care. Except as required by law, website content is provided “as is” without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose and non-infringement.

10. Limitation of liability

To the maximum extent permitted by law, we are not liable for indirect loss, loss of profit, loss of data or business interruption. Our aggregate liability is capped at the fees you actually paid for the relevant service in the 12 months preceding the claim.

11. Termination

Either party may terminate if the other commits a material breach that remains uncured 30 days after written notice. On termination you shall pay for work completed up to the termination date, and the confidentiality and intellectual property clauses survive.

12. Force majeure

Neither party is liable for delay or failure to perform caused by events beyond its reasonable control, including natural disasters, war, strikes, network or power outages, and governmental action.

13. Changes and governing law

We may update these terms, effective from the date of publication. These terms are governed by the laws of our place of incorporation. The parties shall first seek to resolve disputes amicably; failing that, disputes are submitted to the courts of competent jurisdiction.
